1. About These Terms

These Terms & Conditions (“Terms”) form a legally binding agreement between you (“Client”, “you”) and CloudWave Bangladesh, operated by CLOUDWAVE CORP LTD (“CloudWave”, “we”, “us”), Trade License TRAD/DNCC/007090/2026, with offices at #224 Bagbari, Gabtoli, Mirpur, Dhaka-1216, Bangladesh and #128 City Road, London, EC1V 2NX, UK.

They apply to every service we provide, including shared and WordPress hosting, reseller hosting, email hosting, VPS, Windows VPS/RDP, dedicated servers, the CloudWave Cloud Console (hourly cloud servers), cloud storage, domain registration, Bulk SMS, web and software development, and IT support services (together, the “Services”). Our Refund Policy and Privacy Policy are part of these Terms.

By placing an order, creating an account, adding funds, or using any Service, you confirm that you have read, understood and agreed to these Terms. If you do not agree, do not use our Services.

2. Account Setup and Order Acceptance

  • Your account is activated once payment is received and confirmed. Some orders may also need confirmation from our support team.
  • You must be at least 18 years old, or have legal capacity to enter a contract, and must provide accurate, complete and current information.
  • You are responsible for keeping the email address and contact details in your client area correct. All account notices, invoices and renewal reminders are sent to the registered email. CloudWave is not liable for any problem caused by incorrect or outdated contact details.
  • You are responsible for all activity under your account and for keeping your passwords, API keys and server credentials secure. Notify us immediately if you suspect unauthorized access.
  • We may refuse or cancel any order, or request identity or business verification, where we suspect fraud, abuse or a violation of these Terms.

3. Payments and Renewals

  • All Services are prepaid. Full payment is due when you place an order or renew.
  • We accept the payment methods shown on our Payment Methods page, which may include bKash, Stripe, PayPal, major credit and debit cards, Cryptomus, Binance Pay, DoDo Payments, bank transfer and approved offline payments. Availability may change.
  • Renewal reminders are sent 7 days and 3 days before the renewal date. It is your responsibility to renew on time, whether or not you receive a reminder.
  • Services not renewed by the due date will be suspended, and may later be terminated, with no liability for data loss. Domains may enter grace or redemption periods under registry rules, and extra restoration fees may apply.
  • Prices are shown in BDT or USD as displayed at checkout. Taxes, bank charges, currency conversion costs and payment gateway fees, where they apply, are the Client’s responsibility.
  • Prices, plans and promotional offers may change. Price changes apply from your next renewal, and promotional prices may apply to the first term only unless stated otherwise.
  • Chargebacks and disputes: opening a chargeback or payment dispute without first contacting us may lead to immediate suspension or termination of all your Services. You remain liable for the amount due and any dispute fees we incur.

4. CloudWave Console Wallet and Hourly Billing

This section applies to the CloudWave Cloud Console and any other Service billed from a wallet balance.

4.1 Wallet. The CloudWave Console Wallet is a prepaid balance used only to pay for Console services such as hourly servers, snapshots, add-ons and bandwidth charges. Funds in the Wallet are non-refundable, cannot be withdrawn as cash, and cannot be transferred to another person. The Wallet is not a bank account, deposit or e-money account, and earns no interest. Please add only the amount you expect to use. See the Refund Policy for details.

4.2 Hourly metering. Console services are metered and charged per hour, or per part of an hour, from the time the service is created until it is destroyed. A stopped, powered-off or unused server still reserves resources and may continue to be billed until it is destroyed.

4.3 Insufficient balance and auto-suspend. You must keep enough balance in your Wallet to cover running services. If the Wallet cannot cover the next billing period, we may automatically suspend the service. Depending on your settings and our system configuration, suspension may involve taking a snapshot and destroying the server so that charges stop. Destroyed servers and their data cannot be recovered, except from a snapshot that we have successfully created and kept.

4.4 Negative balance. In limited cases, such as a final charge applied when a service is suspended or destroyed, or an authorized admin adjustment, your Wallet may fall below zero. You agree to pay any negative balance promptly. We may withhold new orders, new servers or further Services until it is cleared.

4.5 Snapshots. Snapshots are billed according to the rate shown in the Console. Snapshots are kept only while your Wallet can cover their storage charges. If the Wallet stays unfunded, we may delete snapshots, and we will make reasonable efforts to notify you by email first.

4.6 Bandwidth allowance and overage. Each Console server includes a bandwidth allowance for a full billing period (usually a month), as shown for your plan. The following rules apply:

  • Usage above the allowance is charged as overage at the per-GB rate shown in the Console or in your service details.
  • If you destroy a server, or it is destroyed through auto-suspend, before the billing period ends, the included allowance is reduced in proportion to the hours the server actually ran. Any usage above this reduced allowance is charged as overage, even if you used less than the full monthly allowance. For example, a server destroyed after a few hours may have only a few GB of free allowance.
  • Before you confirm a destroy, the Console shows the estimated overage charge. The final charge is based on the figures confirmed at the time of destruction and is deducted from your Wallet.
  • If your Wallet cannot cover the charge, the destroy request may be blocked until you add funds.
  • Overage is charged on top of hourly and other fees. It is a separate usage charge, not a penalty.

4.6a Servers destroyed outside the Console. If a server is destroyed or terminated by you, your team, your API keys or any third party outside the Console, you remain responsible for any resulting overage and charges.

4.7 Fair use of IPs and resources. IP addresses are assigned to the Service, not owned by you, and may change or be reclaimed. Resource limits shown on your plan (CPU, RAM, disk, port speed, bandwidth) apply.

5. Service-Specific Terms

5.1 Shared, WordPress and email hosting. Hosting plans are for normal website and business email operation. See Section 8 (“Unlimited” and Fair Use) and Section 9 (Bandwidth). Mass mailing and newsletter sending beyond the limits for your plan are not permitted.

5.2 VPS, RDP, VDS and dedicated servers. Unless you buy a managed plan, servers are unmanaged. You are responsible for operating system setup, security hardening, software updates, firewall rules, applications, backups and monitoring. Support covers network connectivity, hardware and the provisioning of the server. It does not cover your software, configuration, scripts or data. Port scanning, DDoS, proxy or VPN resale abuse, cryptocurrency mining, brute-force attacks, botnets, spam and any use of the server to attack others is strictly prohibited. Windows and other licenses are supplied under their vendors’ terms.

5.3 Domain registration. Domains are registered through third-party registrars and registries and are subject to their rules and ICANN policies. You are the registrant and are responsible for providing accurate WHOIS details. Domain registrations, renewals and transfers are non-refundable. We are not responsible for disputes about domain ownership, trademark claims or the loss of a domain through non-renewal.

5.4 Cloud storage. You are responsible for the content you store and for keeping your own copies of important data. Storage used for illegal content or content that violates third-party rights will be removed.

5.5 Bulk SMS. You may send messages only to recipients who have agreed to receive them, using approved sender IDs and in line with the rules of the Bangladesh Telecommunication Regulatory Commission (BTRC) and mobile operators. Fraudulent, political, adult, misleading or unsolicited messages are prohibited. SMS credits are non-refundable once purchased, and delivery depends on operators and their networks, which are outside our control.

5.6 Web design, software development and IT services. The scope, timeline and fees are as agreed in writing in the quotation, invoice or contract. Fees for migration, configuration, development and IT support are charged for time and effort and are non-refundable. Third-party software, plugins, themes and licenses remain under their own terms. Ownership of delivered work passes to you only after full payment, unless agreed otherwise in writing.

6. Acceptable Use

All Services must be used for lawful purposes only. You agree to comply with all applicable laws of Bangladesh and of the country where the server is located, including laws on information and communication technology, cyber security, telecommunications and intellectual property, as in force from time to time. You will indemnify CloudWave against claims arising from your misuse of the Services.

The following are prohibited:

  • Spam, bulk or unsolicited email, phishing websites, and mail sending outside plan limits
  • Distribution or hosting of copyrighted or trademarked material without permission
  • Counterfeit goods or materials that infringe trademarks
  • Adult content, child exploitation material and other illegal images or videos
  • Proxy scripts, IRC bots, warez, pirated software, and hosting of malware or exploit kits
  • Unlawful content, hate speech, threats or harassment
  • Promotion of illegal activities, including gambling, fraud and pyramid schemes
  • Network attacks, port scanning, DDoS, brute-force activity, or attempts to harm our systems or other customers
  • Cryptocurrency mining, unless your plan explicitly allows it
  • Hosting large multimedia files, backups or archives that are unrelated to website operation on shared hosting
  • Excessive use of server resources, including CPU, memory, databases, inodes and storage, in a way that affects other customers

We may investigate reports of abuse and remove content or restrict access where needed. We will cooperate with lawful requests from authorities.

7. Suspension and Termination

We may suspend or terminate any Service, with or without prior notice, in these situations:

  • Non-payment, negative Wallet balance or chargeback
  • Violation of Section 6 or any other part of these Terms
  • Abuse, spam, phishing, malware or illegal content
  • Security threats or attacks originating from, or targeting, your account
  • Legal orders, or a request from a data center, registry or upstream provider
  • Fraud, false information or abusive behavior toward our staff

We work with third-party data centers and upstream providers, and you accept their applicable terms by using our Services. No refunds are issued for servers, licenses, software or other Services suspended or terminated for violating these Terms.

You may cancel a Service at any time through your client area or a support ticket. Cancellation stops future renewals only and does not create a refund unless the Refund Policy says so. Data on terminated Services may be deleted permanently and cannot be recovered.

8. “Unlimited” Plans and Fair Use

Some hosting plans offer “unlimited” disk space, bandwidth, domains or email accounts. These are for normal website operation and are subject to fair use:

  • Unlimited resources do not extend to file storage, backups, archiving or large multimedia hosting.
  • Excessive use of server resources, such as databases or very large numbers of files, may degrade performance and may lead to throttling, suspension, or a requirement to upgrade to a more suitable plan.

9. Bandwidth

For hosting plans, if your account exceeds its bandwidth allowance you will be notified. If you do not wish to upgrade, the account may be suspended until the following month, after which it will be reactivated. Excessive bandwidth usage may require an upgrade. For Cloud Console servers, see Section 4.6.

10. Spam and Server Abuse

We have zero tolerance for spam, unsolicited bulk email and server abuse. An account found sending spam, or trying to undermine or harm our servers or network, may be suspended or terminated immediately, with or without notice, and without a refund.

11. Backups and Data

CloudWave makes reasonable efforts to back up shared hosting data, but we do not guarantee that backups exist, are complete, or can be restored. You are solely responsible for keeping your own backups of your websites, databases, servers and files. Snapshots and backup add-ons, where purchased, are supplementary tools and are not a replacement for your own backup plan. We are not liable for any data loss.

12. Uptime Guarantee

CloudWave targets 99.9% uptime for shared hosting, excluding scheduled maintenance, emergency maintenance, force majeure, upstream or internet failures outside our network, DDoS attacks, and problems caused by your own actions, scripts or software. If a shared hosting account is affected by downtime beyond this level, you may request a service credit by submitting a support ticket within 7 days of the incident. The credit is calculated in proportion to the downtime and is added to your account as credit. It is your sole remedy for downtime. Our own monitoring records are used to verify claims, and third-party monitoring services may not be used to justify claims.

13. Scheduled and Emergency Maintenance

We will notify customers in advance of planned maintenance where possible. Scheduled maintenance is not covered by the uptime guarantee. Emergency maintenance, such as urgent security patches or hardware replacement, may happen without notice.

14. Third-Party Services

Some Services rely on third-party data centers, upstream providers, registrars, payment gateways, license vendors and software. They have their own terms, prices and policies, and their failures or changes may affect your Service. We are not responsible for the acts or omissions of third parties, but we will make reasonable efforts to help resolve issues.

15. Intellectual Property

You keep ownership of your content. You give us the limited rights needed to host, store, back up and deliver it. CloudWave’s name, logos, website, software, Console and documentation belong to CloudWave or its licensors, and may not be copied or reused without written permission.

16. Privacy

We collect and use personal data as described in our Privacy Policy. We may share information with payment processors, registrars, data centers and authorities where needed to deliver the Services or to meet legal requirements.

17. Disclaimer of Warranties

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we give no warranties, express or implied, including fitness for a particular purpose, uninterrupted or error-free operation, or that data will not be lost.

18. Limitation of Liability

CloudWave is not responsible for any indirect, incidental, special or consequential damages, including data loss, loss of profit, loss of business or business interruption, even where we have been told such damage could occur. Our total liability for any claim related to a Service is limited to the amount you paid for that Service in the 1 month before the event that caused the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

19. Indemnity

You agree to defend and indemnify CloudWave, its owners, staff and partners against any claim, loss or expense (including reasonable legal fees) arising from your content, your use of the Services, your clients’ use of Services you resell, or your violation of these Terms or applicable law.

20. Resellers

If you resell our Services, you are responsible for your customers’ compliance with these Terms and for supporting your own customers. We provide support to you, not to your customers, unless agreed otherwise. Your customers’ violations are treated as your violations.

21. Force Majeure

We are not liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, power or network failures, government action or regulation, strikes, war, cyber attacks, and failures of upstream providers or data centers.

22. Changes to These Terms

We may change these Terms and our prices, plans or policies at any time. Updated Terms are posted on this page with a new “last updated” date, and where a change materially affects paid Services we will make reasonable efforts to notify you by email. By continuing to use the Services after a change takes effect, you accept the revised Terms.

23. Notices

Notices to you are sent to your registered email or posted in your client area. Notices to CloudWave must be sent through a support ticket or to contact@cloudwavebd.com.

24. Governing Law and Disputes

These Terms are governed by the laws of the People’s Republic of Bangladesh. We encourage you to contact our support team first so that we can try to resolve any dispute informally. Any dispute that cannot be resolved this way is subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

25. General

  • Entire agreement: these Terms, together with the Refund Policy, Privacy Policy and any order or quotation, are the entire agreement between you and CloudWave.
  • Severability: if any part is found unenforceable, the rest remains in force.
  • No waiver: a delay in enforcing a right is not a waiver of that right.
  • Assignment: you may not transfer your account or rights without our written consent. We may assign these Terms in connection with a business transfer.
